Terms of Service

These Terms of Service ("Terms" or "Agreement") constitute a legally binding contract between you (either an individual or a legal entity that you represent, hereinafter "Client," "You," or "Your") and DevStudio AI ("Company," "We," "Us," or "Our").

By accessing our website located at devstudio.ai (the "Site") or by engaging us for software development, AI agent creation, or consulting services (collectively, the "Services"), you agree to be bound by these Terms.

1. Services and Statements of Work (SOW)

1.1 Scope: The Site provides information about our capabilities. The actual provision of custom development Services will be governed by a separate, mutually executed Statement of Work (SOW) or Master Services Agreement (MSA).

1.2 Precedence: In the event of any conflict between these Terms and a fully executed SOW or MSA, the terms of the specific SOW or MSA shall prevail regarding that specific project.

1.3 Independent Contractor: DevStudio AI acts as an independent contractor. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between the parties.

2. Client Obligations and Acceptable Use

2.1 Accuracy of Information: When submitting inquiries via our Site, you warrant that all provided information is accurate, complete, and not misleading.

2.2 Prohibited Conduct: You agree not to:

  • Use the Site or Services for any illegal or unauthorized purpose.
  • Attempt to reverse engineer, decompile, or hack the Site's infrastructure.
  • Submit data that infringes upon the intellectual property or privacy rights of any third party.
  • Introduce malicious code, viruses, or automated scraping bots to the Site.

3. Intellectual Property Rights (IP)

3.1 Company Background IP: We retain all rights, title, and interest in our pre-existing tools, generic code libraries, AI prompts, workflow templates, and proprietary methodologies ("Background IP") used to deliver the Services.

3.2 Client Deliverables (Foreground IP): Subject to the full and final payment of all undisputed fees outlined in the applicable SOW, Company hereby assigns to Client all rights, title, and interest in the specific, custom-developed software, models, and assets created exclusively for the Client ("Deliverables").

3.3 License to Background IP: To the extent any Company Background IP is incorporated into the Deliverables, Company grants Client a non-exclusive, worldwide, royalty-free, perpetual license to use such Background IP solely as necessary to utilize the Deliverables.

4. Confidentiality and Non-Disclosure

4.1 Definition: "Confidential Information" means any non-public, proprietary business, technical, or financial information disclosed by one party to the other.

4.2 Obligations: Both parties agree to protect the other's Confidential Information with the same degree of care used to protect their own, but no less than reasonable care. Confidential Information shall only be used to the extent necessary to perform obligations under these Terms or an SOW.

4.3 Exceptions: Confidential Information does not include data that is publicly known, already known to the receiving party prior to disclosure, or independently developed without use of the disclosing party's Confidential Information.

5. Warranties and Disclaimers

5.1 Service Warranty: We warrant that the Services will be performed in a professional and workmanlike manner in accordance with industry standards.

5.2 Disclaimer: Except for the express warranties set forth herein, the Site and Services are provided on an "as is" and "as available" basis. We expressly disclaim all other warranties, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that AI generated outputs will be 100% error-free or accurate.

6. Limitation of Liability

6.1 Indirect Damages: To the maximum extent permitted by law, in no event shall DevStudio AI be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.

6.2 Liability Cap: Our total cumulative liability arising out of or related to these Terms or the Services, whether in contract, tort, or otherwise, shall not exceed the total amounts actually paid by you to us in the three (3) months immediately preceding the event giving rise to the claim.

7. Indemnification

Client agrees to indemnify, defend, and hold harmless Company, its officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of: (a) Client's violation of these Terms; (b) Client's use of the Deliverables in violation of applicable laws; or (c) any claim that Client-provided materials infringe the intellectual property rights of a third party.

8. Term and Termination

8.1 Termination: We reserve the right to suspend or terminate your access to the Site at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users of the Site, us, or third parties, or for any other reason.

8.2 Survival: Provisions regarding Intellectual Property, Confidentiality, Limitation of Liability, and Indemnification shall survive any termination of these Terms.

9. Governing Law and Dispute Resolution

9.1 Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without giving effect to any choice or conflict of law provision.

9.2 Arbitration: Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in Los Angeles, California.

10. General Provisions

10.1 Severability: If any provision of these Terms is held to be unenforceable, such provision shall be modified to reflect the parties' intention, and the remaining provisions shall remain in full force and effect.

10.2 Modifications: We reserve the right, at our sole discretion, to modify or replace these Terms at any time. Your continued use of the Site following the posting of any changes constitutes acceptance of those changes.
